Company Announcement — joint release by Organigram Global Inc. and Aurora Cannabis Inc., filed with the US Securities and Exchange Commission (Form 6-K), 3 November 2026. Not an ASX/NSX announcement.

Canadian cannabis companies Organigram Global Inc. (NASDAQ/TSX: OGI) and Aurora Cannabis Inc. (NASDAQ/TSX: ACB) said in a joint release filed with the US Securities and Exchange Commission on 3 November 2026 that they have entered into an arrangement agreement under which Organigram would acquire all of Aurora’s outstanding shares.

According to the release, Aurora shareholders could elect to receive, for each share, C$7.80 in cash, 5.8626 Organigram shares, or C$3.75 in cash plus 3.0431 Organigram shares, subject to proration. The companies said the agreement values Aurora at about C$561 million on a fully diluted basis. The release names a subsidiary of British American Tobacco as Organigram’s cornerstone shareholder and as an investor in a related private placement.

The companies said the transaction requires approval by Aurora shareholders (at least two-thirds of votes cast, and a majority of minority shareholders), approval by Organigram shareholders, approval of the Supreme Court of British Columbia, and regulatory approvals. They said shareholder meetings are expected in December 2026 and completion in January 2027, and that there is a risk the transaction will not be completed within that time.

The release also states that Aurora’s board had unanimously rejected an unsolicited takeover bid from Curaleaf and recommends that shareholders reject that bid.

Aurora said in the release that it serves medical markets in Canada, Europe, Australia and New Zealand. In its annual information form filed with the SEC in June 2026, Aurora describes MedReleaf Australia as a wholly owned subsidiary operating in Australia. These are Aurora’s own descriptions. Neither company has been checked against Australian registers for this item.
